Soocialy Terms of Service

Effective October 22, 2026 · Wersja polska

These terms govern the use of Soocialy - an app for planning, creating and publishing social media content, available at https://app.soocialy.com and in the Soocialy mobile app. By creating an account you accept these terms.

1. Provider and definitions

The service is provided by naSpotted sp. z o.o., al. Jana Pawła II 43A/37B, 01-001 Warszawa, Poland, KRS 0001255909, tax ID (NIP) 5273228667 ("Provider", "we"). Contact: contact@soocialy.com.

  • Service - the Soocialy app and the features available in it.
  • User - a person who created an account (including a team member invited to a brand).
  • Brand - a workspace in the app for one company, product or social media account, with its own plan, team, content and connections.
  • Content - texts, graphics, photos, videos and other materials added by the User or prepared in the app at the User's request.
  • Platforms - external services the User connects a brand to: Meta (Instagram, Facebook), Google, TikTok, LinkedIn.

2. Technical requirements

To use the Service you need an up-to-date web browser or the Soocialy mobile app, internet access and an email address. To publish on Platforms you need your own accounts on those Platforms.

3. Account and brands

You create an account with an email address and a password. You provide true information and keep your password confidential. One account can manage up to 20 brands.

The brand owner invites the team and assigns roles: manager (can connect Platforms, approve content and change settings) or team member. The owner is responsible for the actions of people they give access to.

The Service is intended for businesses and people running a brand as part of their professional or business activity.

4. Free trial

Each new brand gets a 14-day free trial with access to plan features. The trial does not require a card and does not turn into a paid plan automatically. When it ends, the brand switches to a limited mode (no content generation, publishing or ads) until you choose a plan - your Content and settings are kept.

5. Plans and payments

Current plans, their scope and prices are shown in the app when choosing a plan. Each brand's plan is paid separately, in advance, for a monthly period.

Until online payments are available in the app, choosing a plan creates an order: we issue an invoice and activate the plan once the bank transfer is received. Once online payments (Stripe) are launched, the plan is a subscription renewed every month - you can cancel it at any time in the billing portal, effective at the end of the paid period.

Add-on services (e.g. "Boost reach") are one-off - the price and scope are shown when ordering, and fulfilment starts after payment.

We issue VAT invoices. A price change does not affect a period already paid for - we announce new prices at least 14 days in advance.

6. Content and artificial intelligence

The app suggests Content with the help of AI models. Suggestions may contain errors - you review them before publishing and can edit or reject them. You are responsible for Content published on your accounts.

The legal filter flags phrases that may breach advertising rules. It is a helper tool, not legal advice. Content with a red filter verdict is never published automatically.

By adding materials you confirm that you hold the rights to them (including music, photos and people's images) and that people shown in photos have agreed to their use.

You keep all rights to your Content. You grant us a non-exclusive, royalty-free licence to the extent needed to provide the Service: storing, processing (e.g. converting file formats) and publishing Content at your request. The licence ends when the Content or the account is deleted. We never add watermarks or the Soocialy logo to your Content.

7. Platform connections and publishing

Connecting a brand to Platforms is optional. When using them through Soocialy you comply with the terms and policies of those Platforms (e.g. Meta, Google, TikTok, LinkedIn). Platforms may change their features or rules - we are not responsible for their decisions, outages or restrictions placed on your account.

We publish only Content you approve. On TikTok you approve every post separately on the consent screen, choosing who can view it, interaction settings and commercial content disclosure - without that, the post is not published. By posting to TikTok you accept TikTok's Music Usage Confirmation and, for branded content, the Branded Content Policy.

Autopilot is optional. When turned on, the weekly content batch and blog posts are approved automatically after 48 hours without your decision (you get a reminder first). Autopilot never approves TikTok posts.

You can disconnect a connection at any time in the Connections tab.

8. API keys

A brand owner or manager can create an API key for adding Content from other systems (POST /api/v1/posty). The key is shown only once - you are responsible for keeping it secret and can revoke it at any time. Content added with a key goes through the same legal filter and the same approval as Content created in the app. Limit: 60 posts per day per key.

9. Acceptable use

You may not use the Service to:

  • publish content that is unlawful, misleading, infringes others' rights or breaks Platform rules;
  • send spam or messages without the recipients' consent;
  • impersonate other people or brands;
  • circumvent limits, safeguards and settings of the Service or the Platforms, including required consents;
  • disrupt the operation of the Service.

If these rules are breached we may pause publishing, suspend the brand or the account - we will tell you why by email.

10. Availability and liability

We work to keep the Service running, but technical breaks and outages may happen, including on the Platforms' side. We try to schedule planned maintenance at low-traffic hours.

Our liability towards businesses is limited to the fees paid for the Service by the given brand in the last 3 months and excludes lost profits. This limitation does not apply to damage caused intentionally or where the law does not allow it.

11. Complaints

Send complaints to contact@soocialy.com, describing the problem and the brand concerned. We reply within 14 days.

12. Termination and account deletion

You can end the agreement at any time by deleting your account in the app (Settings → Delete account, instructions: https://app.soocialy.com/en/delete-account). Paid periods are not refunded unless the law provides otherwise.

We may terminate the agreement with 30 days' notice, or with immediate effect in case of a serious breach of these terms. After termination we delete data as described in the Privacy Policy.

13. Personal data and data processing agreement

How we process your data is described in the Privacy Policy: https://app.soocialy.com/en/privacy-policy.

When you enter your customers' personal data into the Service (e.g. contacts, marketing consents, messages and comments from your profiles), you entrust us with processing it (Art. 28 GDPR) on these terms:

  • we process the data only to provide the Service and on your documented instructions, which are given by using the app's features;
  • scope: contact details, consents and their history, content of messages and comments, data needed for campaigns and review requests;
  • only people bound by confidentiality have access; we apply the security measures described in the Privacy Policy;
  • we use the sub-processors listed in the Privacy Policy - we inform you of changes in advance and you may object;
  • we help you respond to data subject requests and meet your obligations under Art. 32-36 GDPR;
  • we notify you of a personal data breach without undue delay and no later than 48 hours after discovering it;
  • after the Service ends we delete the data (backups within 14 days), unless the law requires us to keep it;
  • we provide the information needed to demonstrate compliance and allow audits at a time agreed in advance.

14. Changes and final provisions

We announce changes to these terms in the app or by email at least 14 days before they take effect. If you do not agree, you can end the agreement before that date.

Polish law governs the agreement. Disputes with businesses are resolved by the court competent for the Provider's registered office. These terms do not limit rights that cannot be excluded or limited by contract.
